Tip Terms
These Terms of Service and Acceptable Use Policy ("Terms") govern your use of the tipping features ("Tip Service") provided by SDS Nexus, LLC dba PowerIRL ("PowerIRL", "we", "our", or "us") at chatbot.pwrirl.com and on each tip page hosted at /tip/<name> (each, a "Tip Page"). By using the Tip Service — whether to receive tips ("Streamer") or to send a tip ("Viewer" or "Donor") — you agree to these Terms. These Terms supplement PowerIRL's general Terms of Service and Privacy Policy; to the extent there is a conflict regarding the Tip Service, these Terms control.
1. Modification
PowerIRL may revise these Terms at any time by posting an updated version. Material changes will be noted by updating the "Last Updated" date above and, where reasonably practicable, by an in-product notice. Your continued use of the Tip Service after the change constitutes acceptance of the revised Terms.
2. About the Tip Service
The Tip Service lets Viewers send voluntary monetary gifts ("Tips") to Streamers. PowerIRL provides the software, Tip Pages, and integration with the payment processor, but is not a party to the underlying transaction between Donor and Streamer. PowerIRL does not act as an escrow agent, charity, broker, or financial institution. Tips are processed through Stripe, Inc. ("Stripe") via Stripe Connect Express. Your use of the Tip Service is also subject to the Stripe Services Agreement and the Stripe Connected Account Agreement.
3. Eligibility
The Tip Service is only intended for individuals aged thirteen (13) years or older. If you are under 13, do not use the Tip Service. If you are between 13 and 18 (or the age of majority in your jurisdiction), you must review these Terms with your parent or legal guardian before using the Tip Service. Streamers must be at least 18 years old (or the local age of majority) and must satisfy Stripe's eligibility requirements to receive Tips.
4. Streamer Accounts & Stripe Connect
To receive Tips, a Streamer must (a) hold an active PowerIRL account in good standing, and (b) complete Stripe Connect Express onboarding, which includes Stripe's identity verification ("KYC"), bank-account linkage, and tax-information collection. Stripe controls onboarding eligibility, payout scheduling, and Connected Account standing. PowerIRL does not store full banking details or government-ID documents; that data is held by Stripe. PowerIRL may suspend or restrict a Streamer's Tip Page if Stripe disables charges or payouts on the Connected Account, or if PowerIRL otherwise determines the Streamer is out of compliance with these Terms.
5. Fees & Payouts
- Platform fee. PowerIRL charges a service fee of five percent (5%) of each Tip's sticker amount. By default, this fee is added on top of the sticker amount and paid by the Donor.
- Processing fees. Stripe processing fees (for example, 2.9% + $0.30 per US card transaction, with adjustments for international cards, American Express, and other instruments) are also added on top of the sticker amount and paid by the Donor.
- Streamer payout. Subject to fraud, dispute, and chargeback holds, the Streamer receives the full sticker amount the Donor entered, less any deductions Stripe is required to make under its own agreements.
- Payout delay. Stripe Connected Accounts are subject to a fourteen-day (14-day) rolling payout delay to buffer against chargebacks and fraud. Stripe controls payout scheduling and may modify this period.
- Extended hold on large Tips. A Tip of $250 or more raises the receiving Connected Account's payout delay to ninety (90) days, and any other Tips that account receives during that window are held on the same schedule. Card networks permit a Donor to dispute a payment for roughly 120 days after it is made; a shorter hold would release the funds long before that risk has passed. PowerIRL may extend a hold up to the full dispute window where it considers the risk to warrant it.
- Reserves. PowerIRL may, at its sole discretion, instruct Stripe to place a temporary reserve on a Connected Account where fraudulent activity, elevated dispute rates, or chargebacks are suspected.
- Refunds & reversals. Stripe processing fees on refunded transactions may not be returned by Stripe. Where a chargeback or refund occurs, the Streamer is responsible for the original Tip principal and any associated fees.
6. Tipping (Donor Terms)
By submitting a Tip, you ("Donor") represent and warrant that:
- you are using a valid payment method that you own, or that you are expressly authorized to use;
- the Tip is a voluntary gift and is not consideration for any goods, services, performance, request, recognition, or other benefit promised or implied by the Streamer or PowerIRL;
- you are not subject to any legal restriction that would prohibit you from sending the Tip;
- you are not using the Tip to launder money, evade sanctions, or finance any illegal activity.
Tips are non-refundable. Except where required by applicable law, by Stripe's rules, or by a chargeback resolved in your favor, all Tip charges are final and may not be canceled, refunded, or charged back. Refund or cancellation requests may be sent to [email protected]. PowerIRL may, in its sole discretion, refund a Tip; nothing in this section obligates PowerIRL to do so.
No consideration. Donors acknowledge that the Streamer has no obligation to fulfill any request, perform any act, deliver any content, or provide any benefit in exchange for a Tip. PowerIRL is not responsible for any Streamer's acknowledgment or non-fulfillment of any request, nor for any action or default by any Streamer.
7. Streamer Obligations
Each Streamer agrees that:
- Tips received are gross income for which the Streamer is solely responsible for reporting and paying any applicable taxes; PowerIRL and Stripe may furnish tax forms (e.g., IRS Form 1099-K) where required by law;
- the Streamer will not offer or imply that goods, services, or specific performance will be provided in exchange for a Tip;
- the Streamer will comply with these Terms, the Stripe Services Agreement, the Stripe Connected Account Agreement, and all applicable laws and regulations;
- the Streamer authorizes PowerIRL to instruct Stripe regarding the Streamer's Connected Account for fraud, chargeback, dispute, and refund purposes;
- the Streamer is solely responsible for the content displayed on the Streamer's Tip Page, including profile imagery, written descriptions, alert messages, and any text-to-speech messages enabled.
8. Acceptable Use Policy (AUP)
You will not use the Tip Service, any Tip Page, or any content submitted through them to:
- engage in conduct that is unfair, deceptive, or violates consumer-protection law in any jurisdiction;
- infringe any copyright, trademark, trade secret, right of publicity, or other proprietary right;
- create a risk to anyone's safety or health, compromise national security, or interfere with a law-enforcement investigation;
- impersonate another person or entity, or misrepresent your affiliation with any person or entity;
- promote illegal drugs, illegal gambling, illegal firearms or weapons, export-control violations, or other regulated goods or services;
- submit, display, or transmit content that is defamatory, libelous, threatening, pornographic, harassing, hateful, or racially or ethnically offensive, or that encourages criminal conduct or gives rise to civil liability;
- facilitate theft, terrorism, or terrorist financing;
- launder money, evade economic sanctions, or otherwise carry out fraudulent or malicious activity;
- use the Tip Service in violation of Stripe's Restricted Businesses list or the Stripe Connected Account Agreement;
- attempt to circumvent fees, fraud controls, payout delays, or chargeback dispute processes;
- use bots, scripts, scrapers, or other automation to send Tips or harvest Tip data without PowerIRL's prior written permission.
PowerIRL may, at its sole discretion, remove content, suspend or disable Tip Pages, freeze pending payouts pending investigation, terminate Streamer accounts, and report suspected violations to law enforcement and to Stripe.
9. Fraud, Chargebacks & Holds
PowerIRL may prevent Streamers from withdrawing or accessing Tips that are suspected (in PowerIRL's sole discretion) of being fraudulent, of having been obtained through suspicious activity, or that are subject to an active or anticipated chargeback or dispute. Streamers are responsible for chargebacks received against their Connected Account and any chargeback or dispute fees Stripe imposes. If a Donor's chargeback is sustained, the disputed amount (plus any Stripe fees) may be debited from the Streamer's Connected Account balance or future payouts.
Why large Tips are held. A Donor may dispute a card payment for roughly 120 days. Once funds have been paid out and spent, a sustained dispute still has to be paid back — so a Tip of $250 or more is held for 90 days under Section 5, and PowerIRL may extend that to the full dispute window. The hold exists so that a disputed Tip can be returned from funds still on the account rather than becoming a debt owed by the Streamer.
Donor acknowledgement. Every Donor confirms, before paying, that the Tip is a voluntary gift and is final and non-refundable. PowerIRL records the time, terms version, and network details of that confirmation and may submit them as evidence in response to a dispute. This does not remove any right a Donor has under card network rules or applicable law to dispute a payment.
10. Suspension & Termination
PowerIRL may suspend or terminate your access to the Tip Service at any time, with or without cause, and with or without notice — including for any violation of these Terms, for risk-management or fraud reasons, or at Stripe's direction. Sections that by their nature should survive termination (including Fees & Payouts, Streamer Obligations, AUP, Fraud & Chargebacks, Indemnification, Limitation of Liability, and Governing Law) shall survive.
11. Disclaimers
The Tip Service is provided "as is" and "as available", without warranty of any kind, express or implied. PowerIRL disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement. PowerIRL does not warrant that the Tip Service will be uninterrupted, error-free, or secure.
Without limiting the foregoing, PowerIRL is not responsible for: (i) the availability or operations of any third-party payment processor, including Stripe; (ii) any Streamer's acknowledgment or fulfillment of a Donor's request; (iii) any defamatory, offensive, illegal, or negligent conduct of any other user; or (iv) any unfulfilled transaction resulting from incorrect payment information you provided.
12. Limitation of Liability
To the maximum extent permitted by law, PowerIRL and its affiliates, officers, directors, employees, and agents shall not be liable for any direct, indirect, exemplary, special, consequential, or incidental damages of any kind, or for any loss of data, revenue, profits, or reputation arising out of or in connection with the Tip Service.
In no event shall the aggregate liability of PowerIRL for any claims arising under these Terms — whether in contract, tort, or otherwise — exceed the total amount of fees, if any, paid by you to PowerIRL for the Tip Service during the three (3) months prior to the event giving rise to the claim.
13. Indemnification
You agree to defend, indemnify, and hold harmless PowerIRL and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (i) your use of, or inability to use, the Tip Service; (ii) any content you submit through a Tip Page; (iii) your interaction with any other user (including any Donor or Streamer); or (iv) your violation of these Terms, applicable law, or any third-party right.
14. Privacy
Your use of the Tip Service is also subject to PowerIRL's Privacy Policy and Stripe's Privacy Policy. PowerIRL shares with Stripe the information necessary to process Tips, verify Streamer identity, and handle disputes. Donor payment-card data is collected directly by Stripe; PowerIRL does not receive or store full card numbers.
15. Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms will be brought exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of those courts.
16. General
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect. PowerIRL's failure to enforce any right or provision is not a waiver. You may not assign these Terms; PowerIRL may assign them in connection with a merger, acquisition, reorganization, or sale of assets. These Terms, together with the documents referenced herein, constitute the entire agreement between you and PowerIRL with respect to the Tip Service.
